By creating an account, accessing, or using any of Mutire's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Mutire. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Mutire provides high-performance cloud infrastructure and related services designed to help organizations run applications securely and efficiently. Our Services include, but are not limited to:

• Power Machine — kernel-based virtual machines and high-availability compute
• Hosting servers — dedicated hosting for web applications and workloads
• Infrastructure servers — automation, orchestration, and business-scale infrastructure
• Customer console, billing, support, and related online services

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account

You agree not to use our Services in any way that:

• Violates any applicable laws, regulations, or third-party rights
• Compromises the security, integrity, or availability of our Services or other users' data
• Attempts to gain unauthorized access to any systems, networks, or data
• Introduces malware, viruses, or other harmful code
• Interferes with or disrupts the Services or servers connected to the Services

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and the compilation thereof, are owned by Mutire Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

If you purchase any paid Services:

• You agree to pay all fees associated with your use of the Services as described in the applicable pricing
• Fees are billed in advance on a subscription basis or as otherwise specified in your service agreement
• All fees are non-refundable except as required by law or as expressly stated in your service agreement

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms or engage in any fraudulent, illegal, or harmful activity. Upon termination, your right to use the Services will cease immediately, and we may delete your account and data in accordance with our data retention policies.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. While we strive to provide secure and reliable Services, we do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUTIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Delaware, and each party consents to personal jurisdiction in those courts.
